Terms of Use

Last updated: September 22, 2026

Welcome to Bingeship. These Terms of Use ("Terms") are an agreement between you and Middle Ground LLC ("we," "us") and govern your use of the Bingeship mobile app for iOS and Android (the "App") and our website, Bingeship.app (the "Site") — together, the "Services." By using the Services, you agree to these Terms and to our Privacy Policy.

Who may use the Services

You must be at least 16 years old to use the Services. If you are under 18, you may use the Services only with the permission of a parent or guardian. By using the Services, you confirm you meet these requirements.

Your account

You sign in with your mobile phone number using a one-time passcode that we send you by text message. By entering your phone number, you expressly consent to receive text messages from us at that number for sign-in codes and important service messages about your account. These are service messages, not marketing texts; message frequency varies with your use of the Services, and standard message and data rates from your mobile carrier may apply. You represent that the phone number you provide is your own.

You agree to provide accurate information, keep your phone and phone number secure, and not share access to your Bingeship account. You're responsible for activity that happens under your account, and you agree to update your account promptly if your phone number changes. If you believe your account has been accessed without permission, contact us right away.

Cost of the Services

The Services are currently free to download and use. There is no subscription and no advertising. If we ever introduce paid features in the future, we will tell you clearly in advance and nothing will be charged without your agreement.

Your content

Bingeship lets you post ratings, reviews, lists, comments, and other content ("Your Content"). You own Your Content. By posting it, you grant Middle Ground LLC a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute Your Content within the Services and in promoting the Services (for example, featuring a great review), for as long as Your Content remains on the Services. You can delete Your Content at any time.

Bingeship has zero tolerance for objectionable content and abusive behavior. You are responsible for Your Content. Don't post anything you don't have the right to share, and don't post content that:

We have zero tolerance for objectionable content or abusive users. Content or accounts that violate these Terms will be removed. You can flag any content using the in-app "Report" feature, and you can block another user at any time to immediately stop seeing their content and messages. We review every report and act on it within 24 hours — up to and including removing the offending content and permanently ejecting the account responsible.

Our content and third-party data

The Bingeship name, logo, design, and software are owned by Middle Ground LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works from them without our written permission.

Title information in the App — such as posters, cover art, synopses, and metadata — is supplied by third-party providers, including TMDB (movie and TV data provided by TMDb), the Google Books API, and the Podcast Index API. This data belongs to its respective owners and is provided for use within the Services.

Acceptable use

You agree not to misuse the Services — including attempting to access accounts or systems without authorization, scraping or harvesting data, interfering with the Services' operation, or using the Services to violate any law.

Termination

You can stop using the Services or delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Services or other users. Sections of these Terms that by their nature should survive termination (such as intellectual property, disclaimers, and limitations of liability) will survive.

App store terms

If you download the App through the Apple App Store or Google Play, your use is also subject to their terms. Apple and Google are not parties to these Terms and have no responsibility for the App, but they are third-party beneficiaries of these Terms and may enforce them as to your use of the App downloaded from their store.

Disclaimers

The Services are provided "as is" and "as available." We don't guarantee that the Services will be uninterrupted, error-free, or that any content (including other users' reviews and third-party title data) is accurate. Recommendations on Bingeship are the opinions of the users who post them.

Limitation of liability

To the fullest extent permitted by law, Middle Ground LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, goodwill, or profits, arising from your use of the Services. To the extent any liability is not excludable, our total liability for all claims relating to the Services is limited to the greater of $10 or the amount you paid us in the past twelve months.

Indemnification

You agree to indemnify and hold harmless Middle Ground LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content or your violation of these Terms.

Dispute resolution: binding arbitration and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury decide your claims.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at the address in the Contact section below with a written description of your dispute, and we'll do the same. If we can't resolve it together within 60 days, either of us may proceed as described below.

Binding arbitration. Except for the claims described under "Exceptions" below, any dispute, claim, or controversy between you and Middle Ground LLC arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration rather than in court. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court with jurisdiction. Any arbitration hearing will take place in Harris County, Texas, or by video or telephone, or on written submissions, at your election.

Class action waiver. You and Middle Ground LLC agree that each of us may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) must be brought in court rather than in arbitration, and the rest of this section still applies.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may also seek injunctive or other equitable relief in court to protect intellectual property rights.

Costs. AAA's fee schedule applies. If you're an individual and your claim is for $10,000 or less, we'll pay all AAA filing, administrative, and arbitrator fees unless the arbitrator determines your claim was frivolous.

Coordinated or mass filings. If 25 or more arbitration demands are filed against Middle Ground LLC that raise similar claims and are brought by the same or coordinated counsel, the following applies in addition to the AAA Mass Arbitration Supplementary Rules. (1) Counsel for both sides will confer in good faith to select a first group of no more than 20 demands ("bellwether cases") to proceed to arbitration; each side may select half. (2) The remaining demands will not be filed with AAA, and no filing, administrative, or arbitrator fees will be due for them, until the bellwether cases are resolved. (3) Once the bellwether cases are resolved, the parties will engage in a single mediation of the remaining claims, with each side bearing half the mediator's fees. (4) If the remaining claims are not resolved in mediation, the parties will repeat this process in successive groups of up to 20 until all demands are resolved. (5) All applicable statutes of limitation are tolled for any demand from the date it is submitted to us under the informal-resolution step until it is filed with AAA under this process. (6) A single AAA process arbitrator will decide any dispute about whether this section applies or how it should be administered. If a court or arbitrator determines that this section cannot be applied to a particular demand, that demand will proceed in court, and the class action waiver still applies.

Your right to opt out. You can reject this arbitration agreement and class action waiver by sending us written notice, with your name and the email address on your account, within 30 days of first accepting these Terms. Send it to the email in the Contact section with the subject line "Arbitration opt-out." If you opt out, all other parts of these Terms still apply.

Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Subject to the Dispute Resolution section above, any dispute that is permitted to be brought in court will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. The current version will always be posted here with its "last updated" date, and for significant changes we'll provide notice in the App or by email. Continuing to use the Services after changes take effect means you accept the updated Terms.
